General terms and conditions

General Terms and Conditions (GTC) for the FRANZIS.de online shop

1. Scope and provider

The following General Terms and Conditions apply to all orders placed by customers via the online shop FRANZIS.de, operated by

FRANZIS GmbH, Richard-Reitzner-Allee 2, 85540 Haar, Germany (hereinafter "Franzis"). Deviating or supplementary general terms and conditions of the customer shall not apply.

Customers or purchasers may be consumers as well as entrepreneurs. A consumer is any natural person who concludes a legal transaction for purposes that are predominantly outside their trade, business or profession. Entrepreneurs are natural or legal persons who, when concluding the contract, act in the exercise of their commercial or independent professional activity.

2. Conclusion of contract

The product presentations in the online shop do not constitute a legally binding offer but a non-binding online catalogue. By clicking the button [Order with obligation to pay / Buy], the customer places a binding order for the goods contained in the shopping cart. Receipt of the order is confirmed together with acceptance of the order immediately after it has been sent by means of an automated email. The purchase contract is only concluded with this email confirmation.

If it turns out that ordered goods are not available, Franzis reserves the right to withdraw from the contract. Franzis will inform the customer of the non-availability without undue delay and refund any consideration already provided by the customer.

3. Prices and shipping costs

  • The prices at the time of the order apply.
  • All prices are final prices including statutory VAT.
  • Physical goods: Shipping costs may be charged in addition to the product prices. Where applicable, these are clearly indicated in the shopping cart system and on the order page.
  • Download products: No shipping costs are charged for digital content.

4. Terms of delivery and shipping (physical goods)

  • Delivery within Germany and within the EU is made by our shipping partner DHL.
  • If the customer is a consumer, Franzis bears the shipping risk regardless of the shipping method. If the customer is an entrepreneur, all risks and dangers of shipment pass to the customer as soon as Franzis has handed the goods over to the carrier.
  • Unless otherwise stated, the delivery time is approx. 2–4 working days.

5. Provision of download products

  • Digital content (e.g. e-books, software, graphics) is made available to the customer as a download after receipt of payment.
  • It is provided by sending a download link by email or by activation in the customer account.

6. Terms of payment

The following payment methods are available to the customer:

  • Klarna invoice (shipment after receipt of payment)
  • PayPal
  • Credit card
  • Apple Pay
  • iDEAL
  • EPS
  • For orders on account, the invoice amount is payable within 14 days of receipt of the invoice. In the event of default in payment, interest shall be charged on the purchase price at 5 percentage points above the base interest rate. The customer agrees that, until 31 December 2026, invoices and credit notes may be transmitted either in electronic form as a PDF document by email or in a structured electronic format within the meaning of Section 14 (1) of the German VAT Act (UStG). After the transitional period has expired, invoices will be issued exclusively in the format prescribed by law. The customer must ensure that the email address provided is suitable for receiving invoices and is checked regularly.

7. Right of withdrawal

Consumers have a statutory right of withdrawal, which must be exercised within 14 days of the conclusion of the contract without giving reasons.

Important note on the expiry of the right of withdrawal for downloads:

The right of withdrawal for digital content expires early if the customer has expressly agreed that Franzis may begin performance of the contract before the withdrawal period has expired and the customer has confirmed that they lose their right of withdrawal by giving this consent.

To exercise the right of withdrawal, the customer must inform Franzis of their decision to withdraw from the contract by means of an unequivocal statement (e.g. a letter sent by post, fax or email).

8. Consequences of withdrawal

If the customer has withdrawn from the contract and returned the product already delivered, Franzis will refund any payments already made, including delivery costs, without undue delay and at the latest within 14 days of the day on which the customer declared the withdrawal.

Details on exercising the right of withdrawal and its legal consequences are contained in the attached withdrawal information.

9. Retention of title

The physical goods delivered remain the property of Franzis until payment has been made in full. Should the customer have resold the goods before full payment, their claims against the purchaser shall be deemed assigned to Franzis.

10. Warranty

The statutory warranty provisions apply to product defects.

11. Final provisions

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods, unless mandatory statutory provisions (e.g. consumer protection rights at the customer's place of residence) conflict with this. For consumers, this choice of law applies only insofar as it does not deprive them of the protection afforded by mandatory provisions of the law of the state in which they have their habitual residence.

Should individual provisions be or become invalid in whole or in part, this shall not affect the validity of the remaining provisions. The invalid provision shall be replaced by a valid provision that comes as close as possible to the invalid provision.

12. Competitions

Special conditions of participation for competitions
12.1 Subject matter
12.1.1
These conditions of participation govern participation in competitions organised by FRANZIS.

12.1.2
By taking part in the competition, the participant accepts these conditions of participation.

12.2. Conditions of participation for the respective competition
Persons who are resident in Germany, Austria or Switzerland and are at least 18 years old are eligible to participate. Employees of FRANZIS and employees of cooperation partners who are or were involved in the creation or execution of the competition are excluded.

12.3. Rights of use, indemnification and responsibility
12.3.1
FRANZIS is not obliged to check the contributions provided by the competition participant (for example images) for potential infringements of third-party rights. However, FRANZIS is entitled to reject them if, on reasonable assessment, the contributions are unlawful or infringe the rights of third parties.

12.3.2
By uploading contributions, in particular images, the participant declares that they are free of third-party rights, i.e. that they either originate from the participant or that the participant has obtained the consent of the authors and of the persons depicted in images and videos. The participant indemnifies FRANZIS against all third-party claims arising from the contributions provided. The participant undertakes to support FRANZIS in every reasonable way in defending against such claims.

12.3.3
The following applies to the transfer of rights of use where the submitted contributions are used solely for the purposes of the competition: The participant agrees that their contributions may be used, distributed and otherwise made publicly available to third parties by FRANZIS in online and offline media (for example in print or social media) in connection with the competition, the prize draw, its execution and presentation. For these purposes, FRANZIS is also permitted to edit the submissions and, if necessary, to grant rights of use in them to third parties. These rights are granted free of charge and without any restriction as to territory, content or time.

12.3.4
The following applies to the transfer of rights of use where the contributions are used for commercial exploitation:
In the event that participation in a competition requires the commercial exploitation of the contributions and the participant is expressly informed of this, the participant agrees that their contributions may also be used for commercial purposes, distributed and otherwise made publicly available to third parties by FRANZIS in online and offline media (for example in print or social media). For these purposes, FRANZIS is also permitted to edit the contributions and, if necessary, to grant rights of use in them to third parties. These rights are granted free of charge and without any restriction as to territory, content or time.

12.4. Execution
12.4.1
The prize cannot be paid out in cash or in kind, exchanged or transferred to other persons. The participant may waive the prize. In this case, the next participant in the ranking of winners takes their place. The handover of prizes is arranged individually with the participants.

12.4.2
The participant will be notified of the prizes promptly by email to the email address they provided or by post and asked to confirm acceptance of the prize.

12.4.3
If the participant does not confirm acceptance of the prize within 4 weeks, the prize is forfeited. If the contact details provided are incorrect (e.g. invalid email address), FRANZIS is not obliged to find out the correct address. Any disadvantages resulting from incorrect contact details are therefore borne by the participant.

12.4.4 Registration for the competition
Unless otherwise stated, participation in a competition takes place via the respective participation form, which is embedded on the associated website in connection with the competition. Alternatively, the participant may also take part by email to service@franzis.de or by post to FRANZIS GmbH, Richard-Reitzner-Allee 2, 85540 Haar, Germany. In these cases, they must state the name of the competition and their email address so that Franzis can contact them if they win.

By registering for the competition, the participant agrees that, if they win, their name and picture will be published on the internet and, where applicable, in print media.

12.5. Exclusion of warranty
FRANZIS points out that the availability and functioning of the respective competitions cannot be guaranteed. The respective competition may be ended or removed due to external circumstances and constraints without any claims against FRANZIS arising from this.

These may include technical problems, rule changes or decisions by platforms such as Facebook or TikTok if the respective competition is organised on or in connection with them.

13. Free downloads – digital giveaways
Franzis sometimes offers goods or services in digital form (such as e-books, software, video workshops) free of charge in return for subscribing to a newsletter. The participant is expressly informed of this before obtaining them and asked for their express consent. If the participant does not wish to acquire the respective goods or services with their consent to receive the Franzis newsletter, they can alternatively purchase these or comparable products on FRANZIS.de. For this purpose, an alternative "purchase link" is also available to the participant on the same website on which a newsletter registration is required for the free download.

14. Data protection

14.1

In the context of the competition, Franzis guarantees the highest possible data protection standard and complies with all relevant statutory provisions in this regard.
